The article examines the Russian model of confirmation of the adoption of decisions of the bodies of a legal entity, in particular, LLC, by notarization. The author pays attention to the current design of notary action on certification of decisions of LLC bodies, compares it with the German approach to the same action, points out the shortcomings of the current legal regulation and proposes a number of measures to improve the model of notary certification of decisions of LLC bodies, which will allow to better protect the rights and legitimate interests of participants in corporate relations.
