Interests of Stakeholders of Business Companies in Corporate Law: Limits of Consideration and Protection

Annotation

The article examines the interests of stakeholders of business corporations in corporate law. The author considers the main groups of stakeholders and analyzes the economic and non-economic interests associated with each group. Based on the analysis of foreign legal doctrine and case law, the article explores contemporary approaches to taking stakeholder interests into account in corporate governance. The author argues that corporate law should not become a universal mechanism for protecting the economic interests of all stakeholders. At the same time, the non-economic interest of stakeholders in the stable and lawful functioning of a corporation should be taken into account in corporate decision-making insofar as it correlates with the long-term shareholder’s interest and the sustainable value of their investments and the sustainable development of the corporation.
