The article examines contractual forms of technology transfer as a tool for protecting business interests in the context of the formation of technological sovereignty. The author analyzes the legal risks arising from the use of license agreements, agreements on the alienation of exclusive rights, and contracts for the performance of research, development, and technological work. Special attention is paid to the problems of defining the subject matter of the contract, the distribution of rights to improvements, the transfer of know-how, and compliance with antimonopoly restrictions. Based on an analysis of the case law of the Court for Intellectual Property Rights and current legislation, proposals are formulated to minimize risks at the stage of concluding and executing contracts, as well as recommendations for improving the civil law regulation of technology transfer, including the introduction of a comprehensive transfer contract and an option license agreement. It is concluded that effective protection of business interests in technology transfer requires a combination of high-quality contractual work and systemic legislative changes.
