Directive Voting of Members of a Board of Directors and Fiduciary Duties
Annotation
In this article the author considers issues on fiduciary duties of members of the board of directors, including duties to act with due care and in good faith, and their correlation with a wide-spread practice of the board of directors’ members to vote under directives (instructions) of shareholders. Finally, the author concludes that voting under directives (instructions) does not correspond to duties before the company and interested parties undertaken by the board members.
